With reference to Mr. Calder's letter 92583/34/32 of

the 3rd March regarding the Hong Kong Companies Ordinance

1932, I am directed by the Board of Trade to transmit, for

the consideration of the Secretary of State, the following

observations: -

(1) Section 19. - It is observed that the word "British"

is included in the words which a Company proposed to be

registered may not have in its title without the consent of

on the use of the word "British" was considered before the

Companies Amendment Act, 1928, was drafted, but it was

decided not to include any such provision in the Act on

account of the difficulty of determining whether or not the

control of a company is in fact British owing to the

practice which obtains in certain cases, and might be

extended, of shares being held through nominees.
